(hereinafter referred to as “Coworker” or “Collaborator”)

Both parties are collectively referred to as “Parties” and individually as “Party”.

  1. Background and Purpose
    Visway Connect operates a Digital Workforce Network that connects skilled professionals (“Coworkers”) with clients for project-based work across multiple service verticals including website development, digital marketing, lead generation, content creation, communication solutions, and other digital services.
    This Agreement governs the terms under which revenue generated from projects assigned to the Coworker through the Visway Connect platform shall be shared between the Parties.
  2. Definitions
    • “Project” means any task, assignment, or service engagement assigned by Visway Connect to the Coworker on behalf of a client.
    • “Project Value” means the total fee charged to the client for a specific project as agreed in the client’s service agreement.
    • “Gross Revenue” means the total amount received from the client for a completed project before any deductions.
    • “Coworker Share” means the percentage of Gross Revenue payable to the Coworker upon successful project completion.
    • “Visway Connect Share” means the percentage of Gross Revenue retained by Visway Connect as platform and service fee.
    • “Payment Cycle” means the agreed schedule for processing and releasing Coworker earnings.
    • “Statement of Work (SOW)” means the project brief or assignment document outlining deliverables, timelines, and project value.
  3. Revenue Sharing Model
    4.1 Default Revenue Split
    Unless otherwise specified in a project-specific SOW, the default revenue sharing ratio shall be:

Coworker Share: 70% | Visway Connect Share: 30%
Example: Project Value ₹1,00,000 → Coworker receives ₹70,000 | Visway Connect retains ₹30,000
4.2 Revenue Split by Project Type
The following table outlines the revenue sharing ratios applicable to different project categories:

Note: The applicable revenue split for each project will be confirmed in writing in the project SOW before commencement. In the absence of a specific SOW, the default 70/30 split applies.
4.3 Deductions Before Revenue Split
The following costs, if incurred, will be deducted from the Gross Revenue before applying the revenue split:
• Third-party platform fees (e.g., ad spend, hosting, domain costs) paid on behalf of the client
• Payment gateway transaction charges (typically 1.5%–2.5%)
• GST and other applicable taxes collected from the client
• Any out-of-pocket expenses approved in writing by the client
Revenue sharing is applied to the Net Revenue after the above deductions.

  1. Payment Terms and Schedule
    5.1 Payment Trigger
    Coworker earnings become payable only after:
    • The project has been completed and delivered as per the agreed SOW
    • The client has confirmed acceptance of the deliverables
    • Full payment has been received from the client by Visway Connect
    • Any applicable revision or support period has been completed
    5.2 Payment Cycle
    Coworker payments are processed on the following schedule:
    • Payments are released within 7–10 working days after client payment is received and confirmed
    • For ongoing retainer projects, payments are processed at the end of each billing cycle
    • Milestone-based projects: payment released after each approved milestone
    5.3 Payment Method
    Payments will be made via:
    • Bank Transfer (NEFT / IMPS / RTGS) to the Coworker’s registered bank account
    • UPI transfer to the registered UPI ID
    It is the Coworker’s responsibility to maintain accurate and current bank details in their profile.
    5.4 Payment Withholding
    Visway Connect reserves the right to withhold or delay payment in the following circumstances:
    • Client payment has not been received or has been disputed
    • Deliverables have not been approved by the client
    • The Coworker is in breach of this Agreement or any other Visway Connect policy
    • There are pending legal, compliance, or disciplinary matters relating to the Coworker
    • The project was cancelled due to the Coworker’s failure to deliver
  2. Coworker Obligations
    The Coworker agrees to:
    • Deliver all assigned projects to the quality standards and timelines specified in the SOW
    • Communicate proactively with the Visway Connect project coordinator regarding project progress
    • Attend client calls or briefings as required, while maintaining professional conduct
    • Maintain strict confidentiality of all client information, project details, and business data
    • Not engage directly with Visway Connect clients outside the platform for a period of 12 months after the last project engagement
    • Not subcontract or delegate work to third parties without prior written approval from Visway Connect
    • Notify Visway Connect of any conflicts of interest, delays, or issues that may affect project delivery
    • Maintain active membership status and keep profile information updated
    • Comply with all applicable laws and professional standards in the performance of services
  3. Visway Connect Obligations
    Visway Connect agrees to:
    • Assign projects to the Coworker based on skills, availability, and client requirements
    • Provide clear project briefs, SOWs, and client communication channels
    • Process and release Coworker payments within the agreed timelines after client payment receipt
    • Provide access to training programs, resources, and networking opportunities
    • Maintain transparency in revenue calculations and payment statements
    • Provide a monthly earnings statement or payment ledger upon request
    • Resolve any payment disputes within 15 working days of written notice
  4. Intellectual Property
    All work products, deliverables, designs, code, content, and materials created by the Coworker for client projects through the Visway Connect platform (“Work Product”) shall be considered work-for-hire. Ownership of the Work Product vests with the respective client upon full payment, as per the client’s service agreement.
    The Coworker:
    • Retains no ownership rights over client-specific deliverables after project completion and payment
    • May use completed work in their portfolio only with prior written consent from Visway Connect and the client
    • Warrants that all deliverables are original and do not infringe any third-party intellectual property rights
    • Grants Visway Connect the right to showcase work (without client-confidential information) for marketing purposes
  5. Confidentiality
    The Coworker agrees to maintain strict confidentiality of all information obtained in connection with this Agreement and any projects assigned, including:
    • Client identity, contact details, and business information
    • Project briefs, strategies, pricing, and deliverables
    • Visway Connect’s internal processes, pricing, and business strategies
    • Other coworkers’ personal or professional information
    This confidentiality obligation survives the termination of this Agreement for a period of three (3) years. Breach of confidentiality shall entitle Visway Connect to seek injunctive relief and claim damages without limitation.
  6. Non-Solicitation and Non-Compete
    10.1 Non-Solicitation of Clients
    During the term of this Agreement and for a period of twelve (12) months following termination, the Coworker agrees not to:
    • Directly solicit or accept work from any client introduced through the Visway Connect platform
    • Encourage any Visway Connect client to terminate or reduce their engagement with Visway Connect
    • Share Visway Connect client contact information with third parties
    10.2 Non-Solicitation of Coworkers
    The Coworker agrees not to solicit, recruit, or induce any other Visway Connect coworker or employee to leave the platform or work independently for competing ventures during the term and for twelve (12) months post-termination.
  7. Term and Termination
    11.1 Term
    This Agreement shall commence on the date of signing and shall remain in force for a period of one (1) year, automatically renewable annually unless terminated by either party with 30 days written notice.
    11.2 Termination by Coworker
    The Coworker may terminate this Agreement by providing 30 days written notice to Visway Connect. All ongoing projects must be completed or transitioned as directed by Visway Connect before termination takes effect. Pending earnings for completed work will be settled within 30 days of termination.
    11.3 Termination by Visway Connect
    Visway Connect may terminate this Agreement immediately and without notice in the event of:
    • Breach of any material term of this Agreement
    • Fraudulent, unethical, or illegal conduct
    • Repeated failure to deliver projects on time or to standard
    • Violation of confidentiality or non-solicitation obligations
    • Any action that damages the reputation or business interests of Visway Connect
    11.4 Effect of Termination
    Upon termination, the Coworker’s access to the platform will be revoked. Earnings for completed and approved work will be settled. All confidentiality, non-solicitation, and intellectual property obligations survive termination.
  8. Dispute Resolution
    In the event of any dispute arising from this Agreement:
    • Step 1: Both parties shall attempt to resolve the matter through good-faith negotiation within 15 days of written notice
    • Step 2: If unresolved, the dispute shall be referred to a mutually agreed mediator for mediation
    • Step 3: If mediation fails, the dispute shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996
    Arbitration shall be conducted by a sole arbitrator in India. The language of arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.
  9. Governing Law
    This Agreement is governed by and construed in accordance with the laws of India. The courts of competent jurisdiction in India shall have jurisdiction over any matters not resolved through arbitration.
  10. Miscellaneous Provisions
    • Entire Agreement: This Agreement, together with the Coworker Agreement and NDA, constitutes the entire agreement between the Parties regarding revenue sharing.
    • Amendment: Any amendments to this Agreement must be made in writing and signed by both Parties.
    • Severability: If any provision of this Agreement is found unenforceable, the remaining provisions shall continue in full force.
    • Waiver: Failure to enforce any provision shall not constitute a waiver of future enforcement rights.
    • Independent Contractor: The Coworker is an independent contractor and not an employee, agent, or partner of Visway Connect.
    • No Guarantee: This Agreement does not guarantee a minimum volume of projects or minimum earnings.
  11. Signatures
    By signing below, both Parties confirm that they have read, understood, and agreed to the terms of this Revenue Sharing Agreement.
